Terms and Conditions
1. Introduction and Acceptance
These Terms and Conditions ("Terms", "Agreement") govern the relationship between Monger Gideon Tech ("we", "us", "the Studio", "the Developer") and any individual, business, organisation, or entity ("you", "the Client", "the Customer") that engages our services, accesses our website, or enters into any form of project agreement with us.
By contacting us for a project, accepting a proposal, making a payment, or using any deliverable we produce, you confirm that you have read, understood, and agree to be bound by these Terms in full. If you do not agree with any part of these Terms, you must not engage our services.
2. About Monger Gideon Tech
Monger Gideon Tech is an independent full-stack development studio providing software development, DevOps engineering, WordPress development, SEO, and digital product consulting services to businesses and individuals in Nigeria and globally.
3. Definitions
- "Studio" / "Developer" — Monger Gideon Tech, the service provider.
- "Client" — The individual or entity engaging the Studio for services.
- "Project" — Any defined body of work agreed upon between the Studio and the Client.
- "Deliverable" — Any output produced for the Client, including source code, design files, deployed applications, documentation, or configuration files.
- "Proposal" — A written document sent by the Studio outlining the scope, timeline, and cost of a project.
- "Milestone" — A defined stage in the project lifecycle, typically tied to a payment or deliverable checkpoint.
- "Change Request" — Any addition, modification, or removal of work that falls outside the original agreed scope.
- "Third-Party Service" — Any external platform, API, library, or tool integrated into or used as part of a project deliverable.
4. Services Offered
4.1 Software Development
Full-stack web application development, cross-platform mobile application development, admin dashboard and CMS development, real-time system development, API design.
4.2 WordPress Development
Custom WordPress site development, WooCommerce store setup, plugin configuration, WordPress SEO.
4.3 SEO Services
Technical SEO audit, on-page SEO optimisation, Schema.org implementation, Sitemap generation.
4.4 Fintech and Payment Integrations
Payment gateway integration, wallet systems, KYC and identity verification integration.
4.5 DevOps and Cloud Infrastructure
VPS provisioning, CI/CD pipeline setup, Nginx and PM2 configuration, SSL certificate installation.
5. Engagement and Project Agreement
A project engagement formally begins when the Client accepts a written proposal from the Studio, AND an initial deposit or milestone payment is received. All proposals issued by the Studio are valid for 14 calendar days from the date of issue unless otherwise stated.
6. Scope of Work
The scope of work for each project is defined in the proposal document. Work that falls outside the agreed scope (scope creep) will not be performed without a formal Change Request and written approval for additional cost and timeline adjustment.
7. Pricing, Quotes, and Estimates
We offer project-based pricing, hourly rates, and retainers. All written quotes are based on information provided at the time of enquiry. Prices quoted by the Studio cover development and engineering work only. Third-party costs (hosting, domains, API subscriptions) are borne by the Client.
8. Payment Terms
Projects are structured around payment milestones. Work will not begin until the agreed deposit is received. The deposit is non-refundable. Milestone invoices are due within 5 business days of issuance. If a payment milestone is overdue by more than 7 business days, the Studio reserves the right to pause all active work.
9. Milestone and Delivery Structure
Approval of a milestone constitutes Client acceptance of that stage of work. Final delivery includes handover of deployed applications, source code repository access, and credentials once final payment is received.
10. Client Responsibilities
The Client agrees to provide accurate information, timely feedback (within 3–5 business days), necessary access, and ensure that the project complies with applicable laws.
11. Revisions and Change Requests
Each project milestone includes a reasonable number of revisions (minor adjustments). Adding new features or redesigning approved sections counts as a Change Request and will be billed accordingly.
12. Intellectual Property and Ownership
Upon receipt of full and final payment, the Client receives full ownership of all custom code and designs specifically created for their project. Intellectual property rights do not transfer until all outstanding invoices are paid in full. Open-source libraries retain their respective licences.
13. Confidentiality and NDAs
Both parties agree to keep confidential any sensitive business information or proprietary data shared during the course of the project. The Studio is happy to sign an NDA upon request.
14. Hosting, Deployment, and Infrastructure
Hosting, server, and infrastructure costs are borne by the Client. The Studio configures infrastructure to industry best practices but cannot guarantee uptime of the underlying servers or cloud providers used.
15. Post-Launch Support and Maintenance
Every project includes a free support period after Go-Live to fix bugs and errors. New features or issues caused by third-party services are not covered. Ongoing maintenance is available through a retainer.
16. Refund Policy
All deposits paid to commence a project are strictly non-refundable. Payments for completed milestones are non-refundable. Refunds will not be issued for issues caused by third-party service failures or hosting outages.
17. Portfolio and Attribution Rights
Unless the Client has signed an NDA or requested confidentiality in writing, the Studio reserves the right to include the project in its public portfolio and use it as a case study.
18. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
These Terms and Conditions were prepared for Monger Gideon Tech and are effective as of the date stated above.
